Spin Master Toys UK Limited (“SMTUK”) Tax Strategy

Introduction

This document describes the Tax Strategy of SMTUK and is intended to satisfy the requirements of paragraph 19(2) of Schedule 19 of the FA 2016.

SMTUK is the UK subsidiary company of Spin Master Corp. which is a leading global children's entertainment company headquartered in Canada that creates, designs, manufactures, licenses and markets a diversified portfolio of innovative toys, games, products and entertainment properties.

SMTUK’s tax strategy is to:

  • Comply with the applicable tax laws and regulations

  • Submit tax returns and make tax payments by the due dates

  • Pay the right amount of tax

  • Have in place risk management and control procedures in relation to tax

Approach to risk management and governance arrangements in relation to UK taxation

SMTUK identifies and manages tax risks and possible uncertainties relating to UK tax requirements. SMTUK tax affairs are managed with high standards of governance, corporate social responsibility, code of conduct and values.

SMTUK is subject to Corporation Tax, Income Tax/PAYE, NIC and VAT in the UK. Processes have been designed to ensure all returns are prepared accurately, reviewed by competent officials and submitted on a timely basis.

To ensure compliance, UK tax returns are subject to senior management review within the finance department and the approval from Spin Master Corp.’s VP, Global Taxation prior to submission to HMRC.

SMTUK employs both in-house tax professionals and external tax advisors, who support the business by ensuring tax strategy and tax compliance are aligned with the strategy and operations of all business segments. Accordingly, taxes are monitored and considered by the Financial Management of SMTUK as well as by the parent company as part of the overall review and approvals process.

Attitude towards tax planning

SMTUK believes in taking a principled and responsible approach to managing its tax affairs, in line with commercial objectives. SMTUK seeks to apply any relevant UK tax reliefs and allowances in the manner intended by HMRC and statue, first taking external professional advice where necessary. SMTUK does not undertake planning that is contrived or artificial.

The level of risk in relation to UK taxation (“Risk Appetite”)

SMTUK takes a “Low Risk” approach to all taxation issues and works hard to remain in line with taxation requirements.

The level of risk which SMTUK accepts in relation to UK taxation is consistent with its overall objective of achieving certainty in tax affairs, therefore, its tax risk appetite is low.

SMTUK employs diligent professional care and judgement in assessing tax risk and takes advice from third party specialists and HMRC to support the decision-making process.

The approach towards dealings with HMRC

SMTUK maintains an open and professional relationship with HMRC and communicates with HMRC in respect of developments in the business. It strives to be transparent and co-operative in its interaction with HMRC and aims to ensure clear communication and prompt attention to issues as they arise. When submitting tax computations and returns to HMRC, SMTUK seeks to disclose all relevant facts and identify any transactions or issues where it considers that there is potential for the tax treatment to be uncertain.

This tax strategy is approved by the Board of Directors of Spin Master Toys UK Limited. It applies to the current period ending 31 December 2025.
